1. Parties and acceptance of the Offer

This document is the Gignal operator's public offer to enter into an electronic contract for access to the service. A user is an adult with legal capacity, or a representative of a business, who creates an account or uses the service.

Gignal

[email protected]

Acceptance occurs when you actively tick the consent box and create an account after being shown links to this Offer, the Terms, Privacy Policy, and Cookie Policy. The system records the date and version accepted. A paid plan requires a separate confirmation action in Paddle checkout. Creating an account enables Free only and cannot charge you.

You can review, print, or save the current documents before acceptance. The verification email and account interface provide continuing access to them in a form that can be retained. Electronic records of acceptance and related messages may be used to evidence the contract.

2. Subject of the contract

The operator provides remote access to Gignal features for managing clients, contracts, time, invoices, and finances, and the user follows this Offer and the Terms of Use. The service is provided during the relevant period by making the selected plan available.

The features organize data and provide supporting calculations; they are not banking, accounting, audit, tax, or legal advice. The user verifies data before making payments, filing reports, or making decisions.

3. Plans, price, and access

Current features, limits, currency, price, and billing period are shown on the pricing page and again immediately before payment. Free is provided at no charge; paid access activates after Paddle confirms a successful purchase.

The operator may change or discontinue features while preserving the service's core purpose. Where practicable, users will receive advance notice of a material reduction to a paid plan during an already paid period.

4. Payment and Paddle's role

Who takes payment

Paddle.com Market Limited is the seller of the paid subscription and Merchant of Record: it takes payment and handles payment details, sales taxes, receipts, and payment refunds. Gignal receives a subscription identifier and status from Paddle, but not the full card number.

A paid-plan purchase is also governed by Paddle's buyer terms shown at checkout. If the documents conflict on payment, sales tax, or refunds, Paddle's terms and mandatory law apply; this Offer and the Terms of Use govern use of Gignal itself. Paddle Buyer Terms.

If checkout states that renewal is automatic, Paddle charges for the next period on the displayed schedule until the subscription is cancelled. The price for the next period and applicable taxes are shown or communicated under Paddle's rules and the law.

5. Cancellation, withdrawal, and refunds

You may cancel through your profile, Paddle's management link, or support. Cancellation stops future renewal; Pro normally remains available through the paid period, after which the account moves to Free without automatically deleting data.

Refund requests are submitted through Paddle or support and handled under Paddle's terms and mandatory consumer rights. Nothing in this Offer limits any refund, withdrawal, or remedy right that cannot be waived by law.

If consumer law grants a withdrawal right for immediately supplied digital services, the checkout disclosure and your express request or consent to begin performance apply together with Paddle’s buyer terms and mandatory law. Nothing here treats silence, inactivity, or a pre-ticked box as consent.

6. Rights and duties of the parties

The operator maintains the service, provides purchased access, protects data with reasonable technical and organizational measures, and responds to enquiries. The user supplies accurate registration data, secures credentials, processes third-party data lawfully, does not disrupt the service, and independently verifies financial and tax results.

The operator may temporarily restrict access for maintenance, security, legal compliance, or investigation of a material breach. When safe and practical, the user will be notified and allowed to remedy the breach or export data.

7. Liability and force majeure

Each party is liable for a proven breach of its obligations. To the extent permitted by law, the operator is not liable for indirect losses, lost profits, decisions based on unverified calculations, errors in supplied or external data, or failures of independent providers. The operator's total liability is limited to the amount actually paid for Gignal in the 12 months before the event.

The limitations do not apply where liability or consumer rights cannot be excluded by law. A party is not liable for delay caused by extraordinary and unavoidable circumstances beyond its reasonable control, but must use reasonable efforts to resume performance.

8. Term, changes, termination, and law

The contract runs from acceptance until account deletion or other termination. Deleting an account does not cancel payment obligations already incurred, and cancelling a subscription does not itself delete the account. The Privacy Policy describes deletion and retention of data.

A new version is published with its effective date. We give at least 14 days' notice by email or in the product of material changes to rights or duties unless the law requires otherwise. A price change does not apply retroactively to a period already paid for.

Ukrainian law applies to the contract. The parties should first try to resolve a dispute by writing to [email protected]; if no agreement is reached, a competent court hears the dispute under the jurisdiction rules established by law.
